1. Acceptance of Terms

By accessing or using the EduQueue visitor management platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legal agreement between you (either an individual or an entity) and Asan Digital LLC ("Company," "we," "our," or "us").

Important: If you are entering into these Terms on behalf of a school, district, or other educational institution, you represent and warrant that you have the authority to bind such entity to these Terms.

If you do not agree to these Terms, you may not access or use the Service. We may modify these Terms at any time, and such modifications will be effective upon posting.

2. Definitions

  • "Authorized Users" means employees, staff, and contractors authorized by Customer to use the Service
  • "Customer" means the school, district, or educational institution subscribing to the Service
  • "Customer Data" means all data submitted to the Service by or on behalf of Customer
  • "Educational Records" means records directly related to students as defined by FERPA
  • "Service" means the EduQueue visitor management platform and all related services
  • "Student Data" means personally identifiable information about students

3. Service Description

EduQueue provides a cloud-based visitor management platform designed specifically for K-12 educational institutions. The Service includes:

  • Visitor check-in and check-out functionality
  • Driver's license scanning and verification
  • Background check integration (where authorized)
  • Visitor badge printing
  • Student release management
  • Staff attendance tracking
  • Emergency evacuation tools
  • Reporting and analytics
  • Mobile access capabilities

Service Availability: While we strive for 99.9% uptime, we do not guarantee uninterrupted access to the Service. Scheduled maintenance will be communicated in advance when possible.

4. SMS Services and Digital ID Cards

4.1 SMS Consent

BY PROVIDING A MOBILE PHONE NUMBER, YOU EXPRESSLY CONSENT TO RECEIVE AUTOMATED SMS MESSAGES INCLUDING DIGITAL ID CARDS AND EMERGENCY ALERTS.

4.2 Types of SMS Communications

SMS messages may include:

  • Digital visitor ID cards with secure access links
  • Check-in/check-out confirmations
  • Emergency alerts and lockdown notifications
  • Security-related updates
  • Service notifications

4.3 SMS Terms

  • Message frequency varies based on usage and emergency situations
  • Standard message and data rates may apply
  • Messages sent via Twilio or similar SMS providers
  • Reply STOP to opt out at any time
  • Reply HELP for assistance

4.4 SMS Liability Disclaimer

WE ARE NOT LIABLE FOR:

  • Delayed, lost, or misdirected SMS messages
  • Carrier network outages or failures
  • Messages blocked by spam filters
  • Inability to receive messages due to phone settings
  • Any damages resulting from SMS delivery failures
  • Emergency alerts not received due to technical issues

Critical Notice: SMS should not be your sole method for receiving emergency notifications. Institutions must maintain multiple emergency communication channels.

5. Background Checks and Sex Offender Screening

5.1 Screening Services

The Service may include integration with third-party background check providers to screen visitors against sex offender registries and other databases.

5.2 Limitations and Disclaimers

IMPORTANT DISCLAIMERS REGARDING BACKGROUND CHECKS:

  • We do not guarantee the accuracy, completeness, or timeliness of background check results
  • Database information may be outdated, incomplete, or contain errors
  • Not all jurisdictions report to all databases
  • Name-based searches may produce false positives or false negatives
  • Technical errors may prevent checks from completing

5.3 No Guarantee of Safety

WE MAKE NO WARRANTIES OR GUARANTEES THAT OUR SERVICE WILL PREVENT UNAUTHORIZED OR DANGEROUS INDIVIDUALS FROM ENTERING SCHOOL PREMISES. BACKGROUND CHECKS ARE ONE TOOL AMONG MANY AND SHOULD NOT BE RELIED UPON AS THE SOLE SECURITY MEASURE.

5.4 Institution Responsibilities

Educational institutions remain responsible for:

  • Verifying visitor identities through multiple means
  • Maintaining comprehensive security protocols
  • Training staff on security procedures
  • Making final decisions about visitor access
  • Complying with applicable laws regarding background checks

5.5 Liability Waiver

By using the background check features, Customer acknowledges that Asan Digital LLC is not liable for any harm, damage, or injury resulting from:

  • Granting access to any visitor
  • Reliance on background check results
  • Failure of background checks to identify risks
  • Technical failures preventing checks
  • Any criminal acts by visitors

6. Account Responsibilities

6.1 Account Security

Customer is responsible for:

  • Maintaining the confidentiality of account credentials
  • All activities that occur under Customer accounts
  • Immediately notifying us of any unauthorized use
  • Ensuring Authorized Users comply with these Terms

6.2 Accurate Information

Customer agrees to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update account information
  • Use the Service only for lawful purposes

6.3 Administrator Obligations

Customer administrators are responsible for:

  • Managing user access and permissions
  • Configuring security settings appropriately
  • Training staff on proper use of the Service
  • Ensuring compliance with applicable laws and policies

7. Acceptable Use Policy

7.1 Permitted Use

The Service may only be used for legitimate educational and safety purposes related to K-12 institutions.

7.2 Prohibited Uses

You may not:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any laws, regulations, or school policies
  • Upload or transmit viruses, malware, or harmful code
  • Attempt to gain unauthorized access to any systems
  • Interfere with or disrupt the Service or servers
  • Collect or harvest personal information without authorization
  • Use the Service to harass, abuse, or harm others
  • Resell or redistribute the Service without permission
  • Remove or obscure any proprietary notices

Violation Consequences: We reserve the right to suspend or terminate access for violations of this policy.

8. Data Ownership and Rights

8.1 Customer Data

  • Customer retains all ownership rights to Customer Data
  • We claim no ownership rights over Customer Data
  • Customer grants us a limited license to process Customer Data solely to provide the Service
  • Upon termination, Customer Data will be returned or deleted as requested

8.2 Service Data

We retain all rights to aggregated, anonymized data derived from use of the Service for improving our services, provided such data cannot identify any individual or institution.

8.3 Feedback

Any feedback, suggestions, or recommendations provided to us become our property and may be used without compensation or attribution.

9. Privacy and Security

9.1 Privacy Compliance

We comply with:

  • Family Educational Rights and Privacy Act (FERPA)
  • Children's Online Privacy Protection Act (COPPA)
  • Applicable state student privacy laws
  • General Data Protection Regulation (GDPR) where applicable

9.2 Security Measures

We implement industry-standard security measures including:

  • Encryption of data in transit and at rest
  • Regular security assessments and audits
  • Access controls and authentication
  • Employee training and background checks
  • Incident response procedures

9.3 Data Breach Notification

In the event of a data breach, we will notify affected Customers within 48 hours and cooperate fully in any required notifications.

10. Intellectual Property

10.1 Our Property

The Service, including all software, designs, text, graphics, and other content, is owned by Asan Digital LLC and protected by intellectual property laws.

10.2 Limited License

We grant Customer a limited, non-exclusive, non-transferable license to use the Service during the subscription term, subject to these Terms.

10.3 Restrictions

Customer may not:

  • Copy, modify, or create derivative works of the Service
  • Reverse engineer or attempt to extract source code
  • Sublicense, sell, or lease the Service
  • Use our trademarks without written permission

11. Warranties and Disclaimers

11.1 Our Warranties

We warrant that:

  • The Service will perform materially in accordance with documentation
  • We will use commercially reasonable efforts to maintain the Service
  • We will comply with applicable laws in providing the Service

11.2 Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." EXCEPT AS EXPRESSLY PROVIDED, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be error-free or uninterrupted
  • All defects will be corrected
  • The Service will meet all of Customer's requirements

12. Limitation of Liability

LIMITATION: IN NO EVENT SHALL ASAN DIGITAL LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

Our total liability for all claims related to the Service shall not exceed the amount paid by Customer for the Service in the 12 months preceding the claim.

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

13. Indemnification

13.1 Customer Indemnification

Customer agrees to indemnify, defend, and hold harmless Asan Digital LLC from any claims, damages, losses, and expenses arising from:

  • Customer's use of the Service
  • Violation of these Terms
  • Violation of any rights of another party
  • Customer Data or content uploaded to the Service

13.2 Our Indemnification

We will defend Customer against claims that the Service infringes third-party intellectual property rights and will indemnify Customer for damages awarded in such claims.

14. Termination

14.1 Term

These Terms remain in effect until terminated by either party.

14.2 Termination by Customer

Customer may terminate at any time by providing written notice and ceasing use of the Service.

14.3 Termination by Us

We may terminate or suspend access immediately if:

  • Customer breaches these Terms
  • Payment is overdue by more than 30 days
  • We reasonably believe termination is necessary to prevent harm
  • Required by law

14.4 Effect of Termination

Upon termination:

  • All access rights cease immediately
  • Customer must stop using the Service
  • We will provide Customer Data as requested for up to 90 days
  • After 90 days, we may delete all Customer Data

15. General Provisions

15.1 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

15.2 Dispute Resolution

Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, except where prohibited by law.

15.3 Entire Agreement

These Terms, together with our Privacy Policy and any service agreements, constitute the entire agreement between the parties.

15.4 Severability

If any provision is found unenforceable, the remaining provisions will continue in full force.

15.5 Assignment

Customer may not assign these Terms without our written consent. We may assign our rights and obligations without restriction.

15.6 Force Majeure

Neither party is liable for delays or failures due to causes beyond their reasonable control.

16. K-12 Specific Provisions

16.1 FERPA Compliance

We acknowledge that we may have access to education records and agree to comply with FERPA requirements as a "school official."

16.2 COPPA Compliance

We will not knowingly collect personal information from children under 13 without appropriate consent.

16.3 Student Privacy Pledge

We commit to the principles of the Student Privacy Pledge and will not use student information for non-educational purposes.
